Filling an Empty Board Position

Last October, the board of directors vaguely mentioned there was an open seat on the board, but did so without much detail or explanation. After this meeting adjourned, I expressed interest to the President and asked her if she’d sign me up. She said that she thought “xxxx just took it.” At the next meeting in November, the board announced that “xxxx” was now on the board.

Our bylaws allow for the existing board to backfill an open position and they have discretion to select the new person, but are there any procedural steps that are typically followed when selecting a new board member? Which statute speaks to filling open positions? Thanks.

    Pam,
    As for statutes the planned community act only has the statute relative to recall of board members where if a majority of the board is recalled a special election is required to fill the vacancies. The statute defaults to the community documents for less than a quorum of the board. The condominium statute does the same but does have one other section in the power section that specifically states that the condominium documents dictate the process. Right now, your community documents dictate the process until such time that I can make the process identified for recalls apply to the filling of all vacancies.
    You board can either appoint someone to fill the vacancy or not at their discretion for the remained of the term for that position.
