Removal of Officers

Hi, can you clarify this for me? Our bylaws say that upon an affirmative vote of a majority of the members of the Board of Directors, any officer may be removed, with or without cause, and his or her successor elected at any regular meeting of the Board, or at a special meeting of the Board called for such a purpose.

Can removal of an officer be done “on the fly” at an open meeting?

    Pam,
    If a motion is made at a meeting to remove or replace an officer, that motion is valid and can be acted on by the board. Just remember, the board can replace officers, but they cannot remove directors. There is a significant distinction between the two titles.
